Management of WMHI

The Management of WM Holdings Inc. (“WMHI”) are experienced professionals, with a great deal of experience and capacity in international business.

In order to ensure that the best interests of both WMHI shareholders and Webtel.mobi (“WM”) shareholders are attended to – given that the Primary Asset of WMHI comprises WM shares – it is a condition of the Agreement between WMHI and WM that all WMHI Directors must also be members of WM’s Management Team.

The Non-Executive Director/s and Company Secretary of WMHI are not members of WM’s Management Team.

A summary of the backgrounds of WMHI’s Directors appears below.

Stuart Sterzel *


Stuart Sterzel is the President and CEO of WM Holdings Inc. (“WMHI”). He is also the Executive Chairman of Webtel.mobi (“WM”). He has conducted business in more than 50 countries throughout Europe, North America, Asia, the CIS and Africa – primarily through companies that he owned or jointly-owned. His fields of focus have been the Telecommunications, Financial Services, Hydrocarbons and State Infrastructure sectors. He also previously provided Geopolitical Consulting services to National and Regional government departments in various countries, as well as to International Organizations. His Pro Bono activities have included Chairing a Humanitarian Relief Organization and a Military Veterans Organization.


Stewart Cazier


Stewart Cazier is a Director of WM Holdings Inc. (“WMHI”). He is also a member of the Management Team of Webtel.mobi (“WM”). After qualifying as an accountant, Stewart went on to occupy a variety of senior financial services positions in primarily Financial Services and Fund Management entities – focusing mainly on the Banking, Fund Management and Insurance sectors. His previous professional positions include those of Chief Operating Officer of Norwich Union Investment Funds Limited, Joint Managing Director of New Star Investment Funds Limited, Managing Director, Distribution at Henderson Global Investors PLC and Head of Investment Solutions, at Old Mutual Wealth Management PLC.


Jai Vohra


Jai Vohra is a Director of WM Holdings Inc. (“WMHI”). He is also a member of the Management Team of Webtel.mobi (“WM”). After completing his University, MBA and other studies in the UK and USA, Jai worked in the Senior Management - and then as a Director - of a Hotel and Hospitality Services Group. In that position, his primary responsibilities included structuring Licensing and Leasing Agreements for the group, restructuring the group's infrastructural process-flows where applicable, and providing skills-development training to the group's management teams. He has also acted as an Advisor to a company providing Healthcare services in the UK, and as a Director of an online international distance-learning company, which he founded. His Pro Bono activities include acting as a Trustee of a children's and young adult's charity.


Jack Brannelly


Jack Brannelly is the Company Secretary of WM Holdings Inc. ("WMHI"), and also acts as its General Counsel. Jack has been practicing law since 1992, and was a Law Review graduate of Brigham Young University Law School. He has a wide breadth of experience, having begun his legal career as judicial clerk, thereafter gaining experience at a traditional law firm, managing corporate legal departments, and ultimately forming his own law firm. His firm’s primary focuses are Commercial Law, Corporate Finance-related activities and Securities Law. Jack is particularly experienced in respect of Securities, Securities Law and Securities Regulatory matters, particularly with regard to the NASDAQ and OTC Markets. Other than directing the activities of his law firm, Jack also acts as General Counsel to several multinational companies, has participated in multinational transactions worldwide, and has founded successful commercial companies. He therefore has wide-spectrum understanding and experience of international and multi-sector legal, regulatory and commercial matters and requirements.

Stuart Sterzel assumed the role of President and CEO of WMHI as part of the Professional Succession Plan that is in place at all times for WMHI and WM business. In this instance, it was to ensure uninterrupted continuity of process and standards after the sudden passing of the former President and CEO of WMHI. Stuart Sterzel is therefore in this position as a temporary measure – in order to ensure professionally uninterrupted continuity of WMHI’s activities in all respects – while the preparation of the successor President and CEO of WMHI is completed prior to handover.
